Terms and Conditions

Please read these Terms and Conditions ("Terms") carefully before using the PayPapi platform and services. By creating an account or using PayPapi, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. About PayPapi

PayPapi is a subscription tracking and management software platform ("Service") operated by PayPapi ("we", "us", "our"), a company registered in the European Union. The Service allows individuals and businesses to monitor, manage, and analyse their recurring software subscriptions.

These Terms apply to all users of the Service, including individual consumers (B2C) and business customers (B2B). Where provisions differ for business customers, this is stated explicitly.

You must provide accurate, complete, and up-to-date information when creating your account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@paypapi.io if you suspect any unauthorised access to your account.

Each individual may hold one personal account. Business customers may hold one account per legal entity. We reserve the right to merge or close duplicate accounts.

Each account may track an unlimited number of active subscriptions. There is no cap on how many subscriptions you can add, regardless of plan.

The specific features available to you depend on the plan you have selected. We reserve the right to modify, update, or discontinue features at any time, with reasonable notice where material changes affect paid plans.

4. Subscription Plans and Payment

4.1 Plans

PayPapi is offered under various subscription plans, which may include free and paid tiers. Details of current plans, features, and pricing are available at paypapi.io/pricing. We reserve the right to change pricing with at least 30 days' written notice to existing subscribers.

4.2 Billing

Paid plans are billed on a recurring basis (monthly or annually) as selected at checkout. Payment is due in advance at the start of each billing period. We use third-party payment processors (such as Stripe) to handle transactions securely. By providing payment details, you authorise us to charge your chosen payment method on a recurring basis.

4.3 Taxes

Prices displayed may be exclusive of applicable taxes (including VAT). Where required by law, applicable taxes will be added to your invoice. Business customers in the EU who provide a valid VAT number may be eligible for reverse-charge treatment.

4.4 Failed payments

If a payment fails, we will notify you and attempt to retry the charge. If payment is not received within 7 days of the due date, we reserve the right to suspend or downgrade your account to a free tier until payment is resolved.

5. Free Trial

We may offer a free trial period for paid plans. At the end of the trial, your account will automatically transition to a paid subscription unless you cancel before the trial expires. You will be notified of the trial end date at sign-up and by email before the trial concludes.

6. Cancellation and Termination

6.1 Cancellation by you

You may cancel your subscription at any time through your account settings or by contacting support@paypapi.io. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that date. We do not provide pro-rata refunds for unused time within a billing period, except as required by applicable consumer protection law.

We may suspend or terminate your account immediately if you:

Upon termination, your right to access the Service ceases immediately. We will retain your data for 30 days after termination, during which you may request an export. After 30 days, your data will be deleted in accordance with our Privacy Policy.

8.1 Our IP

The PayPapi platform, including its software, design, trademarks, logos, and content, is owned by or licensed to PayPapi and is protected by EU and international intellectual property law. Nothing in these Terms grants you any ownership rights in our IP.

8.2 Your data

You retain full ownership of all data you input into the Service ("Customer Data"). You grant PayPapi a limited, non-exclusive licence to process your Customer Data solely to provide and improve the Service. We will not sell your Customer Data to third parties.

8.3 Feedback

If you submit suggestions or feedback about the Service, you grant us a royalty-free, perpetual licence to use that feedback without obligation or compensation to you.

9. Data Protection and Privacy

We process personal data in accordance with our Privacy Policy, which forms part of these Terms. By using the Service, you acknowledge that we will process personal data as described therein, in compliance with Regulation (EU) 2016/679 (GDPR).

Business customers who use PayPapi to process personal data of their own customers or employees may be required to enter into a Data Processing Agreement (DPA) with us. Please contact support@paypapi.io to request a DPA.

Optional Anonymous Data Collection: If you opt in during onboarding or via Settings, PayPapi may collect anonymous aggregated data: your total subscription spend and category breakdown only. No service names, individual amounts, or personal identifiers are ever collected. You may withdraw consent at any time via Settings > Privacy.

10. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service, and not to disclose such information to third parties without prior written consent, except as required by law. This obligation survives termination of these Terms for a period of 3 years.

11. Disclaimers and Limitation of Liability

11.1 Service provided "as is"

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

11.2 Limitation of liability

To the maximum extent permitted by applicable law, PayPapi's total cumulative liability to you for any claims arising under or related to these Terms shall not exceed the greater of: (a) the total fees paid by you in the 12 months preceding the claim, or (b) €100.

In no event shall PayPapi be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, even if advised of the possibility of such damages.

You agree to indemnify and hold harmless PayPapi and its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) your violation of any third-party rights; or (c) your Customer Data.

13. Third-Party Services and Integrations

The Service may integrate with or link to third-party services (such as payment processors or data sources). These third parties have their own terms and privacy policies, and we are not responsible for their practices or content. Your use of third-party integrations is at your own risk.

14. Service Availability and Maintenance

We aim to maintain high availability of the Service but do not guarantee uninterrupted access. We may carry out scheduled or emergency maintenance that temporarily interrupts the Service. Where possible, we will provide advance notice of scheduled downtime via email or our status page.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 30 days before they take effect. Your continued use of the Service after that date constitutes acceptance of the revised Terms. If you do not agree with the changes, you may cancel your subscription before the new Terms take effect.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the European Union and the jurisdiction in which PayPapi is registered, without regard to conflict of law principles.

In the event of a dispute, we encourage you to contact us first at support@paypapi.io to seek an amicable resolution. If a dispute cannot be resolved informally, it shall be submitted to the competent courts of the jurisdiction in which PayPapi is registered.
